The articlesare as follows ：一、 甲方委托乙方為其提供翻譯服務(wù)，及時(shí)向乙方提交清晰、易于辨認(rèn)的待譯資料，提出明確要求，并對(duì)乙方的翻譯質(zhì)量進(jìn)行監(jiān)督。

1. Party A entrusts Party B with the translation service. Party A shall provide legible documents in time and give clear requirements and control the translation quality of Party B.二、 乙方按時(shí)完成翻譯任務(wù)（如發(fā)生不可抗力的因素除外），向甲方提供已翻譯好的打印件及電子文件各一份具體交稿日期為收到待譯資料后 3 個(gè)工作日對(duì)于加急稿件，交稿期限由雙方臨時(shí)商議2. Party B shall complete the translation work in time and deliver the translation by printed hard copy and a relevant disk within the agreed date. It takes threeworking days as agreed date for the translation work. For the urgent request ， thedelivery time will be discussed accordingly between the two parties.第2 頁共5 頁三、 乙方對(duì)甲方提供的任何資料必須嚴(yán)格保密，不得透露給第三方。

3. Party B shall keep confidentiality of any documents provided by Party A and can not disclose to the third party.四、 翻譯工作量統(tǒng)計(jì)：電子譯稿：按電腦統(tǒng)計(jì)的中文版字符數(shù)計(jì)算（中文版 Word2003 中“不計(jì)空格的字符數(shù)”）；打印譯稿：按中文原稿行數(shù) ___列數(shù)統(tǒng)計(jì)計(jì)算（行 ___列）4. Calculation of the load of translation ： For electronic documents ， thetranslation load shall be based on the statistics of the computer (Chinese VersionWord2003 “ Chinese characters not including blank spaces ” ). For printed documents,the translation load shall be calculated according to lines of Chinese characters(the original printed copy) ， i.e. lines ___ rows.五、 本次翻譯費(fèi)為 元。

甲方同意向乙方繳付一切與此有關(guān)的額外開銷這額外開銷通常包括（但不只限于）特快專遞費(fèi)等5. The translation fee is RMB . Party A agrees to pay the relevant fee oftranslation work. The relevant fee could be but not limited to express fee.六、 乙方可以在翻譯開始前為甲方預(yù)估翻譯費(fèi)，甲方付款時(shí)則按實(shí)際發(fā)生的工作量支付給乙方翻譯費(fèi)用（工作量統(tǒng)計(jì)方法見本合同第四條）6. Party B can evaluate and notice Party A the estimated translation fee before the launch of the project. Party A shall pay to Party B the amount of translation fee according to the actually calculated load of translation (as specified in Clause 4 of this Contract).七、 乙方承諾，交稿后，免費(fèi)對(duì)翻譯稿進(jìn)行必要修改，不另行收取費(fèi)用。

7. Party B promises to provide necessary modifications to the translation documents free of charge after the delivery.第3 頁共5 頁八、 甲方在收到乙方譯稿的________個(gè)工作日內(nèi)支付乙方翻譯總費(fèi)用如第________日余款還未付清，則甲方每延誤________________天需要向乙方交納翻譯總費(fèi)用‰的滯納金8. Party A should pay Party B the total payment within five working days after the translated document is delivered. If the payment is not received in time, thelate payment charge of ________‰ daily is applied.九、 甲方同意，本委托合同書是獨(dú)家委托，不可撤消的委托甲方明白，一旦簽署這委托合同后，如果甲方在乙方提供服務(wù)過程中決定終止這委托合同、或決定改為委托別的翻譯代理繼續(xù)執(zhí)行，則甲方需要立即向乙方繳付清全數(shù)翻譯費(fèi)和額外開銷。

9. Party A agrees that the Party B is solely and revocable responsible for translation. Party A acknowledges that after signing on this agreement, Party A cannot terminate this agreement in the process of translation. If Party A decides to entrust other translation agent, Party A shall pay the total translation fee and relevant fee to Party B immediately.十、 乙方應(yīng)當(dāng)保證譯文的翻譯質(zhì)量和翻譯服務(wù)達(dá)到行業(yè)公允的水平，如對(duì)譯文的翻譯水平發(fā)生爭(zhēng)議，應(yīng)由雙方共同認(rèn)可的第三方評(píng)判，或者直接申請(qǐng)仲裁10. Party B shall guarantee that the quality of the translation and relevant service be up to the received evenhanded standard of the translation industry. Incase any disputes arising from the quality of the translation material ， it shallbe settled through the judgment of a third party agreed by the two parties or applyto arbitration directly.十一、 本合同一式兩份，雙方各執(zhí)一份，經(jīng)甲乙雙方簽章后生效。
